Terms of Service

The agreement between eCrate and anyone using the platform — merchants, partners, and shoppers.

These terms govern use of eCrate, an e-commerce platform operated by [LEGAL ENTITY NAME], [REGISTERED ADDRESS] ("eCrate", "we", "us"). By creating an account, opening a store, or buying through a store hosted on eCrate, you agree to them.

1. Who these terms apply to

eCrate serves three kinds of people, and parts of this document apply to each:

  • Merchants — businesses that open a store on eCrate and sell through it.
  • Partners — influencers and marketers who work with merchants through the eCrate marketplace. Their dealings with merchants are governed additionally by the Marketplace Terms.
  • Shoppers — people who buy from a merchant's store. Your contract of sale is with the merchant, not with eCrate.

2. Accounts

You must give accurate account details and keep your credentials secure. You are responsible for everything done under your account. You must be old enough to form a binding contract where you live, and you may not use eCrate if you are barred from doing so under applicable law or sanctions.

We may suspend or close an account that breaches these terms, that is used for prohibited activity, or where we are required to do so by law or by a payment provider.

3. What a merchant is responsible for

A merchant using eCrate, not eCrate itself, is responsible for:

  • the products they list, the claims they make about them, and their legality;
  • fulfilment, shipping, returns, and customer service;
  • the taxes due on their sales, and any registration those taxes require;
  • the content they upload and their right to use it;
  • their own store policies, and the accuracy of anything they publish; and
  • their obligations to the people whose personal data they process through eCrate — see the Privacy Policy.

eCrate provides the software. It is not a party to any sale between a merchant and a shopper.

4. Prohibited use

You may not use eCrate to sell prohibited or restricted goods, to infringe someone else's rights, to send unsolicited bulk email, to interfere with the platform's operation or security, to scrape it at scale, or to misrepresent who you are. A payment provider's own prohibited-business rules also apply to any store taking payments through eCrate.

5. Fees and payments

Current fees are published on our pricing page and may change on reasonable notice. Card payments are processed by our payment provider under their own terms; eCrate does not store card numbers. Amounts are collected at the time of sale and settled to the merchant's connected payment account, net of any fee, commission, or refund.

You remain responsible for chargebacks, refunds, and disputes arising from your own sales.

6. Your content and your data

You keep ownership of everything you upload — your products, images, copy, and customer records. You grant eCrate the licence it needs to host, process, and display that content in order to run the service for you, and nothing beyond it.

You can export your data at any time, and we delete or anonymize it as described in the Privacy Policy.

7. Availability

We work to keep eCrate available and secure, but we do not promise uninterrupted service. Maintenance, third-party outages, and events outside our control can interrupt it. We may change or discontinue features, and will give reasonable notice before removing something you depend on.

8. Termination

You may close your account at any time. We may suspend or terminate an account for a material breach of these terms, for non-payment, or where required by law. On termination you may export your data for a reasonable period, after which the retention rules in the Privacy Policy apply.

9. Disclaimers and liability

To the fullest extent permitted by law, eCrate is provided "as is". We exclude implied warranties, and we are not liable for lost profits, lost sales, or indirect or consequential loss. Our aggregate liability is limited to the fees you paid us in the [PERIOD] before the claim arose. Nothing here limits liability that cannot be limited by law.

10. Changes to these terms

We may update these terms. Material changes will be notified in the dashboard or by email before they take effect, and continuing to use eCrate after that means you accept them.

11. Governing law and contact
